Administrative Reform-Related Change of Addresses Automatic in the Commercial Register
If a company’s address has changed due to the administrative reform, they do not need to submit an application to the Commercial Register to change the address, instead, the address is automatically changed in the Register free of charge by 1 January 2018.
If a company feels the need to change the address earlier, a respective application for change entry must be submitted to the Commercial Register. If the articles of association of the company do not include the company’s address, no extra costs will be incurred for the company when submitting the application. If the articles of association include an address that has changed, this will mean that the articles of association have to amended as well. Amending the articles of association means paying a state fee.
Companies whose addresses are automatically changed, but whose articles of association contain an address that has changed, must also amend their articles of association. Due to the fact that there is no term for amending the articles of association, it is recommended that the address in the articles of association is changed at a later stage together with another amendment of the article of association for which the state fee has to be paid anyway.
In order to amend the articles of association, the amended version as well as the minutes of the general meeting or decision of the shareholders on approving the articles of association have to be attached to the electronic application.
