Six proposals for improving the Commercial Register
Based on the ideas received from its members, the Chamber sent to the Ministry of Justice, six proposals for making the commercial register information system and entrepreneur portal even more business-friendly, increasing the user convenience of the systems and offering better services for entrepreneurs.
1. Examples and explanations to the applications submitted to the commercial register
The state could prepare simple examples of the most common applications and make them electronically available for entrepreneurs. For example, there could be a standard template for the application for entering a member of the board into the commercial register. Examples or explanations are first and foremost necessary for small entrepreneurs. With the help of such examples or additional explanations, it would be possible to save on the entrepreneur’s time, but also the work load of the employees of the registry department of the Tartu County Court if the applications have been correctly prepared and there is no need to change them.
2. Counselling via the information telephone
It should be possible for entrepreneurs to get information related to the commercial register from the information telephone. Members of the Chamber have been in a situation, where in order to get information, they have contacted the registry department of the Tartu County Court as well as the e-commercial register information telephone, but have not received the help they need. Therefore, the Chamber sees the need to improve the quality of advisory services in topics related to the commercial register.
3. Limitation to the volume of the electronic materials submitted to the commercial register
In certain cases, companies have not been able to send bigger documents to the commercial register, because the limit for the volume has been reached.
4. Logging in via bank link
Logging into the entrepreneur portal could be possible, in addition to the ID-card and mobile ID, via the bank link.
5. Queries in the commercial register
Queries can be made in the e-commercial register regarding the region, area of activity or sales revenue. If a person makes such a query, the respective data can be received as an Excel file. In the Chamber’s opinion, there could be separate column in the file for the company’s business name without the addition that refers to the type of company. For example, if a company’s business name is OÜ Firma 123, the Excel file could have the name as Firma 123 and the type of company in a separate column, in the case of this example – OÜ. In such format, it would be easier to work with the data received from the register.
6. Company’s auditor in the commercial register
Today, we cannot be completely certain that a company’s auditor entered into the commercial register is really an auditor that audits the company’s annual report. This is due to the fact that the company has forgotten or does not want, for certain reasons, to change the auditor in the commercial register. Very often, the auditors themselves are not aware of the incorrect data and do not inform the commercial register thereof. The actual data on the auditors of annual reports exist in the entrepreneur portal. Thus, the data on the auditors in the entrepreneur portal could be automatically transferred to the commercial register. Such change ensures that the commercial register does not contain incorrect data on auditors. At the same time, the change will decrease the administrative burden on entrepreneurs and auditors, because they would no longer have to inform the commercial register of the changed data, instead, the data would be automatically updated via the entrepreneur portal.
