Mutual Confidentiality Agreements

Mutual Confidentiality Agreements, often referred to as Non-Disclosure Agreements (NDAs), are typically concluded when both parties intend to disclose valuable or sensitive information to each other during negotiations. While disclosing such information may involve certain risks of misuse, it is often necessary for the purposes of the business relationship. In these cases, it is common practice for both parties to enter into a mutual confidentiality agreement at the outset of negotiations. This agreement establishes the obligations of each party to protect confidential information and includes provisions for compensation in the event of a breach. Specifically, if either party discloses information to third parties in violation of the agreement, that party is liable to compensate for the damages caused by such disclosure.
